Terms and Conditions

Introduction

These Terms and Conditions ("Terms") constitute a legal agreement between you and Razorpay Software Private Limited ("Razorpay" or "us", or "we" or "our"). These Terms govern your access to and use of Razorpay services, including payments, technology, software, analytics or any other services, tools or products offered or made available by Razorpay.

By accessing our platform or using our services, you agree to be bound by these Terms. If you do not agree to these Terms, you must immediately terminate the use of our services.

1. Proprietary Rights

We (and our licensors, as applicable) remain the sole owner of all right, title and interest in the Services, including any intellectual property rights. Razorpay grants you a personal, non-exclusive, non-transferable, limited right to access the platform and make personal use of the services.

You shall not remove, obscure, or alter any proprietary rights notices which may be affixed to or contained within the Services. You do not have the right to use any of our marks without explicit consent from us.

4. Chargebacks and Refunds

If a chargeback request is received, you will be notified of the chargeback. You agree that liability for chargeback rests with you. Subject to availability of funds, Razorpay upon receipt of a chargeback request shall deduct the chargeback amount from the transaction amounts.

You may effect refunds at your sole discretion, subject to availability of funds received in the Escrow Account. All refunds initiated by you shall be routed to the same payment method through which the transaction was processed.

By using our services, you hereby consent to the use of your information as outlined in our Privacy Policy. Your privacy is extremely important to us.

6. Limitation of Liability

To the maximum extent permitted by applicable laws, the platform and the services are provided on an "as is" basis. Razorpay does not warrant that the services will be uninterrupted or error free.

Razorpay's aggregate liability relating to the services will not exceed an amount equal to one (1) month fees paid by you for the specific services giving rise to the liability.

7. Prohibited Products and Services

You agree not to use the platform and services for any purpose that is unlawful, illegal or forbidden by these terms. Prohibited products and services include but are not limited to:

• Adult goods and services, pornography
• Illegal drugs and drug paraphernalia
• Weapons, firearms, ammunition
• Gambling and betting services
• Counterfeit and unauthorized goods
• Virtual currency, cryptocurrency and NFTs for commercial gain
• Any product or service not in compliance with applicable laws

8. Suspension and Termination

Razorpay shall have the right to immediately suspend services and settlement of any monies or payments to you, without any liability, in the event of:

• Breach of any clause of these Terms
• Facilitating unlawful transactions
• Instructions from facility providers or governmental authorities
• Suspicious circumstances surrounding your activities
• Fraudulent transactions on your platform

9. Governing Law

The laws of India, without regard to its conflict of laws, will govern these Terms, as well as your and our observance of the same. If you take any legal action relating to your use of the platform or these Terms, you agree to file such action only in the courts located in Bangalore, India.
